However, this does not give him the authority to unilaterally act (add and sign an addendum) without the consent of the company’s CEO, meaning Christian Horner, unless the company’s bylaws grant a director such authority (but why would RB give Marko such power?). Furthermore, a director has a fiduciary obligation to act in the BEST INTEREST of the company, not in his best interest. PERIOD. How is giving Max Verstappen an escape clause in the best interest of RBR? Noble did no due diligence, no research. If such an escape clause exists, it was likely inserted in the original contract.
